Terms of Service
a. Ownership – Valet has invested significant resources in the creation of concepts, strategies, and solutions as presented within this Statement of Work. We consider these assets to be a competitive advantage for our Agency and confidential information between Valet and the Client. If Valet is selected to deliver this project and compensated according to the Statement of Work, ownership of these assets will transfer to the Client.
b. Work Start – In accordance with the Valet controls, no work can begin until the signed and approved SOW is delivered to Valet.
c. Cost Variation – The cost and duration of this effort contained within this response is an estimate of Valet’s contribution to the effort and can vary depending on the timeliness of decisions and information.
d. Additional Deliverables – Additional deliverables not stated in scope will incur additional expenses.
e. Additional Rounds of Revisions – Additional rounds of review/edits/revisions will incur additional expenses.
a. Valet’s process and work build upon concepts, designs, and decisions made throughout the project; therefore, formal, written approval of the Client’s deliverables (documents and assets) is necessary before the next project milestone begins. Delays in providing project approvals may affect the overall project timeline.
b. Valet cannot be held accountable for project delays and/or cost overruns due to delays in response by the Client beyond agreed upon written deadlines, resources outside of its direct control, or changes in project scope. We will notify the Client of any delays that will impact the project schedule and will create a change order to identify impact to schedule and cost.
c. Changes in project scope or requirements may only be addressed via Valet’ s change orders and may incur additional analysis, design, and development costs. d. Any feature, function, or requirement not explicitly stated in this SOW is explicitly excluded from the scope. Additional fees will apply.
e. If any feature, function, or requirement is ambiguous, conflicting, or silent in any way, we will consult with the Client for possible resolution. Valet reserves the right to determine the final resolution on such matters.
f. Continuity of Work – Work will be performed over a continuous period of time. Valet is unable to guarantee the availability of the same resources for projects not executed over a contiguous period.
g. Client Satisfaction – Issues regarding client satisfaction with the solution or team performance must be escalated to Valet management in a timely manner.
h. Timeline – Valet will provide a definitive milestone schedule once a formal proposal has been approved. Any delay in meeting this deadline will affect the project timeline.
i. Client Resources – The client provides Valet with a list of internal resources to contact.
j. Any web deliverables will be created in accordance with the guidelines set in our collaboration with the Client.
k. This proposal does not include post-launch activities such as optimization, social media marketing, email marketing or other digital marketing and advertising activities. These will be presented to the Client in a separate proposal based on the Client’s needs and future goals.
l. Any deliverable not mentioned in this Statement of Work Is not in scope, additional fees will apply. Any additional rounds of review/revisions not included in this Statement of Work are out of scope, additional fees will apply.
Valet is pleased to offer a fixed fee for this project, which is outlined in this proposal. The fee does not include travel and expenses, as all work is expected to be performed and completed remotely at the Valet offices.
The above section includes all the assumptions and dependencies made or used to determine the cost of this project:
Invoicing will be scheduled, payable upon receipt, net 30 days on a fixed-fee basis. Client or Valet may terminate the project without cause with a 30-day notice. Liability for both parties would be limited to work performed on the project until the date of termination.
Valet cannot be held accountable for project delays and/or cost overruns due to delays in response by the Client beyond agreed-upon, written deadlines, resources outside of its direct control, or changes in project scope. The Client will review all deliverables and respond within five (5) business days.
Terms for a Great Relationship
Single Point of Contact Requirement
The Client acknowledges and agrees that one single point of contact will be provided for the term of the engagement. This ensures efficient communication and authoritative approval on each milestone of the project. If the client is collaborating with a management team in their own organization, it is the point of contact’s responsibility to communicate the final feedback of the organization with one voice to Valet in a timely and efficient manner. If the point of contact changes mid-project, then additional time and labor may need to be assessed to bring the new contact up-to-speed.
Signing Off then Changing Your Mind
No matter what the scope of work is, each phase of the project is an independent whole. Typically we perform the work in this order (or in tandem): Strategy > Content > Design > Code. Once we have approval on an element (and especially a phase), then going back to make additional revisions later will likely add significant additional labor to the project.
We understand that sometimes you can change your mind or additional stakeholders may be added later. This adds significant complexity and requires additional resources and time to work in. We ask that you please be courteous and understanding when additional costs and time are required to bring a project to completion in this event.
If enough changes are needed, sometimes this means having to reschedule the project around this unplanned work. This is also why having all the stakeholders present at each step of the project is ideal.
Maintenance on Launch
We provide free support for bug fixes, typos, and errors for 30 days after the release of code/design to you. Beyond that, we highly recommend soliciting Valet for ongoing retainer plans and website maintenance based on your needs if you do not have one already.
Ownership, Custody, and Control of Property
You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in our projects are either owned by you or that you have permission to use them.
All creative work, plans, ideas, programming made by Valet remain the property of Valet until the total project is paid for in full. When we receive your final payment, copyright is automatically assigned as follows:
You own the graphics and other visual elements that we create for you for this project. We will give you a copy of all files and you should store them really safely as we are not required to keep them or provide any native source files that we used in making them.
You also own text content, photographs and other data you provided unless someone else owns them. We own the XHTML markup, CSS and other code and we license it to you for use on only this project.
We love to show off our work and share what we have learned with other people, so we also reserve the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles and in books about web design. You may also revoke this right to display work, or any other permission given herein, at any for any reason by notifying us.
Nonsolicitation of Employees
During the term of this Agreement and for a period of one (1) year after the expiration or termination of this Agreement for any reason, each party hereto agrees that it shall not induce or attempt to induce any employee, agent or former employee or agent of the other party to leave the employ of the other party, or hire any such employee, agent or former employee or agent in any business or capacity. In the event that one party hires the employee of the other party, the hiring party will pay a recruiting fee of 150% of that employee’s planned annual salary or retainer within 30 days of the hire date.

Here at Valet, we take a lot of pride in our work, our ethics and our ability to help good people grow good businesses. We feel strongly that strong communication and transparency is the key to our success and our clients’ success. With this in mind here are the things to expect once this proposal is accepted.
- Once you’ve signed this document our bean counters will send an email over with payment instructions.
- On receipt of payment, we will officially schedule your project and communicate with you anything else we need from your team to complete the work. If your project has multiple payment milestones, they will be invoiced at those times.
- Our team will communicate with you each step of the way until project completion. Once you’ve approved the work we will issue the final invoice. Once payment is received we will release the assets or code and finalize any launch tasks required and/or schedule a going-live date for anything website-related. If it’s an ongoing retainer, we keep rolling and billing according to the schedule outlined.
- Then we all have a drink or some cake, suck some helium out of balloons, and/or go skydiving to celebrate the new awesomeness we collaborated on and/or the results we’re already starting to get.
